Terms of Service

1. Agreement

These Terms are a binding agreement between you (or the entity you represent) and Creative Agency OS ("Creative Agency OS", "we", "us"). If you are using the Service on behalf of a company, organization, or agency, you represent that you have authority to bind that entity to these Terms and that "you" refers to that entity.

2. Eligibility

You must be at least 18 years old to use the Service. The Service is intended for business use by brands, agencies, and the professionals who work with them. By using the Service you represent that you meet these requirements and that you are not barred from using it under applicable law.

3. Accounts and security

To use most features of the Service you must create an account. You agree to provide accurate, current, and complete information, to keep your credentials secure, and to notify us promptly at hello@caos.business if you suspect any unauthorized use of your account. You are responsible for all activity that occurs under your account.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party right.
• Publish content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that exploits or harms minors.
• Infringe the intellectual property rights of others, including copyright and trademark.
• Distribute spam, scams, malware, or misleading commercial messages.
• Circumvent rate limits, security features, or access controls.
• Violate the terms, policies, or community guidelines of any third-party platform (including TikTok, Instagram, and Facebook) in connection with your use of the Service.
• Reverse engineer, scrape, or interfere with the operation of the Service.
• Use the Service to train machine learning models or to build a competing product.

We reserve the right to suspend or terminate accounts that violate this section.

5. Your content

You retain all ownership of the content you upload, create, or publish through the Service ("User Content"). By using the Service, you grant Creative Agency OS a limited, worldwide, non-exclusive license to host, store, transmit, display, and process your User Content solely to the extent necessary to provide the Service to you and to publish the content you have scheduled to the third-party platforms you have connected.

You represent and warrant that you have all rights necessary to upload and publish the User Content, and that the User Content does not infringe the rights of any third party or violate any applicable law.

6. Third-party platforms

The Service integrates with third-party platforms such as TikTok, Instagram, and Facebook. Your use of those platforms is governed by their own terms and policies, including without limitation the TikTok Terms of Service and the Meta Platform Terms. Creative Agency OS is not responsible for the practices of those platforms and does not control how they process or display content that you publish through the Service. You are responsible for complying with the terms of every platform you connect.

7. Intellectual property

The Service, including the Creative Agency OS name, logo, software, design, and documentation, is owned by Creative Agency OS and protected by copyright, trademark, and other laws. These Terms do not grant you any right in our trademarks or in the Service itself except the limited right to use the Service as permitted under these Terms.

8. Fees and billing

Some features of the Service may be offered for a fee. If you purchase a paid plan, the fees, billing cycle, and cancellation terms will be presented to you at checkout and will form part of these Terms. Fees are non-refundable except where required by law. We may change pricing for future billing cycles with advance notice.

9. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, use the Service in a way that exposes us or other users to risk, or if required by law. Upon termination, your right to use the Service ends immediately and we will delete your data in accordance with our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that content published through the Service will reach any particular audience or perform in any particular way.

11. Limitation of liability

To the maximum extent permitted by law, Creative Agency OS and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claim arising out of or relating to these Terms will not exceed the greater of the amounts you paid to Creative Agency OS in the twelve months preceding the claim and one hundred US dollars (US$100).

12. Indemnification

You agree to defend, indemnify, and hold harmless Creative Agency OS from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your User Content, your use of the Service, or your violation of these Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Creative Agency OS is established, without regard to conflict-of-law principles. You agree that the courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any court of competent jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date at the top of this page and, where appropriate, notify you by email or inside the Service. Your continued use of the Service after an update means you accept the revised Terms.
